These Terms and Conditions (“Program Terms”) apply to your access to and participation in the Zenatrip Referral and Loyalty Program (the “Program”), which is operated by Zenatrip, LLC, and its corporate parent, Zenabi Data LLC (“Zenabi”), on the website, and through any other website or application hosted by Zenatrip (collectively, the “Site”). Throughout these Terms, the words “Zenatrip,” “we,” “us,” and “our” refer to Zenatrip, Zenabi, and their affiliates, and the words “you” and “your” refer to the user visiting the website. These Program Terms do not alter in any way the terms or conditions of any other agreement you may have with Zenatrip or Zenabi for other products and services. Please note that your access to and participation in the Program is also governed by the terms, conditions, limitations and requirements linked or referenced in these Program Terms, all of which (as may be changed over time) are hereby incorporated into these Program Terms. In addition, these Program Terms complement and incorporate by reference the Website Terms and Conditions and Privacy Policies published on Zenatrip’s and the Site from time to time.

Zenatrip reserves the right to change, modify and/or eliminate the Program and/or all or any portion of these Program Terms or any policy pertaining to the Program at any time and in our sole discretion, including the right to discontinue or change the benefits or change the expiration date of Referral and Loyalty Coins (defined below) or Rewards (defined below) received under the Program, merge the Program with another loyalty/rewards program, or adjust how Referral and Loyalty Coins are earned, calculated or redeemed. It is possible that you may be unable to receive enough Referral and Loyalty Coins to redeem for Rewards if we discontinue the Program or merge the Program into another loyalty/rewards program. If we make changes to the Program Terms, we will post the amended Program Terms to and update the Effective Date above. We may also attempt to notify you in other ways, including without limitation by email. Unless we say otherwise, any amended Program Terms will be effective immediately and your continued participation in the Program after the amended terms are posted will confirm your acceptance of all changes. If you do not agree to the amended Program Terms, you must stop participating in the Program immediately.

IMPORTANT NOTICE: These Program Terms contain certain disclaimers and limitations on our liability and a binding arbitration clause and class action waiver, by which you waive your right to sue in court or seek a jury trial for disputes relating to your use of the Program. These terms only apply to the use of the Program and not to any purchase of qualifying products from third party sellers.

  1. Program Eligibility

Subject to your continued compliance with these Program Terms, you may register one (1) account with Zenatrip for your personal use and participation in the Program. You must be a United States resident (including residents of U.S. Territories) who is at least 18 years of age to participate in the Program. Zenatrip employees, contractors, and the immediate family members of employees and contractors living in the same household are not eligible to participate in the Program. If you have been previously suspended, removed, or otherwise deactivated from using the Program or any other service or Site offered by Zenatrip or Zenabi, you are not permitted to register another account to use the Program.

Please refer to the Privacy Policy of Zenatrip and Zenabi posted on and for information on how Zenatrip collects, uses and discloses personally identifiable information from its users. By agreeing to these Program Terms and/or accessing or using the Program, you agree to our collection, use and disclosure of your personally identifiable information and that we have provided you adequate notification of our privacy practices in our Privacy Policy. From time to time, you should review our Privacy Policy, which is subject to change at any time and from time to time. You should also review the privacy policies of Zenatrip’s third-party partners and service providers, including the providers of any rewards under the Program.   1. Program Description

The Program is a free customer loyalty program that allows participants to earn Referral and Loyalty Coins (“Referral and Loyalty Coins” or “Coins”) with qualifying purchases on the Site. Participants may also earn Coins by participating in Promotional Activities (defined in Section 5) that may be offered through the Program from time to time. Participants in the Program may redeem accumulated Coins for Rewards that can be used towards future purchases on the Site.

  1. Joining the Program

There are no membership fees associated with the Program. To enroll, visit Once you are enrolled in the Program, you can view and manage your Referral and Loyalty Account (“Program Account”) by logging into You may only have one Program Account per individual or corporate entity, and your account is non-transferable. You are responsible for anyone else who uses your Program Account.

In joining the Program, you agree to (i) provide accurate, current and complete information about you as may be prompted by any registration forms used for Program enrollment ("Registration Data"); (ii) maintain the security of your password and supervise use of your account; (iii) maintain and promptly update the Registration Data, and any other information you provide to Zenatrip, and to keep it accurate, current and complete; and (iv) notify us immediately if you suspect a breach of security, including that your Program Account may have been accessed or used without authorization. You are solely responsible for maintaining the security of your Program Account and maintaining your preference settings. We may send notices to the email address you maintain in your Registration Data. We are not responsible for any loss you suffer as a result of not keeping your Registration Data current or secure. You agree not to share or transfer your Program Account or password with or to anyone, and you agree to protect the security of your account and your password. We assume that anyone using the Program or transacting through your Program Account is you or is authorized to act on behalf of you or your company.

  1. Earning Coins

The benefits that are available to you through the Program are based on the number of Coins that you earn by making qualifying purchases or otherwise participating in Promotional Activities (defined below) on the Site.

Qualifying Purchases.In order to receive Coins for a purchase, your order must be placed on the Site using the account that is associated with your Program Account. You will earn Coins based on the total amount paid for your purchase, excluding any tax and shipping and excluding any purchases to the extent made with Rewards. Phone orders and guest checkouts do not qualify. Following each purchase, Coins are first put into a pending state until after your hotel stay is completed, and following confirmation from the participating hotel that your stay was not cancelled, in whole or in part.

Promotional Activities and Events.From time to time, we may offer you opportunities to earn Bonus Coins (“Bonus Coins”), such as by taking advantage of a specific product offer or activity or engaging with Zenatrip in special promotional events (collectively, “Promotional Activities”).

The number of Coins that you can earn each calendar year by participating in Promotional Activities may be capped by Zenatrip at any time and in its sole discretion, with or without notice to you. Coins for participation in Promotional Activities will be awarded as described in each applicable promotional offer and will be subject to any additional terms set forth in said promotional offer. Some Promotional Activities may limit the amount of Coins earned per Promotional Activity. Coins for eligible participation in Promotional Activities may take seven (7) or more days to be added to your Program Account.

  1. Coins Redemption

You can redeem Coins posted to your Program Account for rewards offered by Zenatrip, its affiliates, and its third-party partners (“Rewards”), which can be applied toward future purchases on the Site. Rewards are only issued in whole $10 increments, which is the minimum redemption amount as of the date first above written but is subject to change at any time in the sole discretion of Zenatrip and without notice to you. Coins may not be used outside of the Site and may not be cashed out or merged between Program Accounts at any time or for any reason. You can redeem your Coins for Rewards by logging into your Program Account and accessing the Rewards dashboard. There is no automatic redemption of Coins, and Zenatrip does not guarantee that any particular reward or offer will be available to you or any specific user at any moment in time. Furthermore, not all rewards or offers will be available to all users at all times, and Zenatrip may vary offerings between users in its sole discretion.

Coins accumulated under the Program and Rewards issued when Coins are redeemed are promotional in nature and have no cash value. You have no property rights or other legal interest in the Coins for any purpose. Rewards are redeemable for merchandise with participating retailers and booking transactions with participating hotels only and cannot be applied to previous purchases. Your Coins, Rewards and your Program Account are personal to you and/or your company and may not be sold, transferred (by operation of law or otherwise) or assigned to or shared with family, friends or others. You are responsible for any federal, state or local taxes applicable to your participation in the Program.

  1. Expiration of Coins and Rewards

Coins. Coins do not expire.

Rewards. Rewards expires NINETY (90) DAYS from the date issued and may not be combined with certain ineligible offers or promotions. Zenatrip is not responsible and assumes no liability for any loss or delay of the issuance of Rewards.

  1. Impact of Returns and Cancellations on Your Coins and Rewards

If you return merchandise, void a purchase, or cancel a booking that you purchased in whole or in part with Rewards, you will not receive replacement Rewards and Zenatrip will not credit redeemed Coins back to your Program Account.

  1. Copyright

Except as otherwise indicated, the Program, and the material and content on this Site, including, without limitation, the information, text, software, code, photographs, videos, typefaces, graphics, music, sounds, images, illustrations, maps, designs, icons, trademarks, service marks, logos, and written content (collectively, the "Content") and the arrangement and compilation of the Content, are owned by Zenatrip and/or their licensors and are protected by United States and international laws. All rights to the Content are expressly reserved. Nothing contained in the Program may be construed as granting, by implication, estoppel or otherwise, any license or right to use any patent, trademark, copyright or other proprietary right of Zenatrip, Zenabi, or any third party without the prior written permission of Zenatrip, Zenabi, or such other party that may own such patent, trademark, copyright or other proprietary right(s).

  1. Trademark

Zenatrip, Zenabi, their respective logos, and all other product or service names or slogans, including, without limitation, ZENATRIP, ZENABI, PRICECOIN, the Pricecoin Logo, and the Pricecoin C Logo, displayed on or communicated through the Program are registered and/or common law trademarks of Zenatrip, Zenabi, and/or their suppliers or licensors, and may not be copied, imitated or used, in whole or in part, without the prior written permission of Zenatrip or the applicable trademark holder. In addition, the look and feel of the Program, including all page headers, custom graphics, button icons and scripts, is the service mark, trademark and/or trade dress of Zenatrip and may not be copied, imitated or used, in whole or in part, without the prior written permission of Zenatrip. All other trademarks, registered trademarks, product names and company names or logos displayed on or communicated through the Program are the property of their respective owners. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof by Zenatrip.

  1. Confidentiality

By accessing or using the Program, you agree that you are responsible for maintaining the confidentiality of your Account credentials and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your Program Account.

  1. Referrals

From time to time, and at Zenatrip's sole discretion, we may provide bonuses, Coins, or other rewards when you choose to refer new users to Zenatrip (a "Referral Program"). Any such Referral Program shall be subject to the Program Terms and any additional terms and conditions implemented by Zenatrip in its sole discretion. You agree that you will obtain all necessary permissions and consents from any individual or entity before referring that individual or entity in a Referral Program and indicate to the referred party: that we are not sending or initiating any messages or communications to that individual on your behalf; that you are you not acting as our agent in sending any such messages or communications; and that you may be receiving a referral bonus if the individual becomes a new user of Zenatrip and/or participant in the Program. Current users of the Program cannot qualify as new users for purposes of a Referral Program, and any attempt to create referrals to non-existent individuals or to multiple accounts for the same individual will be void and in violation of these Program Terms. We reserve the right to void or take any other action we deem appropriate with respect to referrals that we determine to be inappropriate or otherwise in violation of any applicable terms, rules, or laws. Zenatrip may discontinue and/or revoke any Referral Program or incentive program in its sole discretion at any time without notice. Where you cannot produce examples of how referrals have taken place, including screenshots of where referrals were made, Zenatrip reserves the right to decline to award referral bonuses, rescind bonus Coins credited, or take other remedial actions.

  1. Advertisements and Promotions

Zenatrip may, from time to time, run advertisements and promotions from third parties in connection with the Program. Your business dealings or correspondence with, or participation in promotions of, parties other than Zenatrip, and any terms, conditions, warranties or representations associated with such dealings, are solely between you and such third party. Zenatrip shall have no liability in the event a product or value of any coupon, offer or promotion is listed at an incorrect amount due to a typographical error, error in information received from our suppliers or other error. We reserve the right, with or without prior notice, to limit the availability of or to discontinue the Program; to impose or enforce conditions on the use of any reward, offer, discount or other promotion; to bar any user from using the Program or making a redemption; and/or to refuse to provide any user with any service or to limit the quantity of rewards available to him or her. YOU ACKNOWLEDGE THAT RELIANCE ON ANY INFORMATION PROVIDED ON OR THROUGH THE PROGRAM IS SOLELY AT YOUR OWN RISK.

  1. Disclaimer of Warranties and Limitation of Liability

We take reasonable steps to provide the Program in a secure, timely, accurate and complete manner. However, it is possible that information provided through the Program may be incorrect or not current. Further, the Internet has inherent risks and we cannot guarantee that your access to and use of the Program will be uninterrupted or error free or that the Program, or sites to which they may link, will be free from loss, corruption, attack, interference, hacking or other security intrusion. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our sites for any reconstruction of any lost data. You are responsible for making sure your Registration Data is correct and current.

Zenatrip is not responsible for typographical errors or omissions relating to pricing, text or photography. Zenatrip is not responsible or liable for any loss or damage of any sort incurred as the result of third-party promotions or as the result of the presence of third-party advertisers on the Site. YOUR USE OF THE PROGRAM AND THE CONTENT PROVIDED ON THE SITE IS AT YOUR OWN RISK. THE PROGRAM AND THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NO WARRANTY OF ANY KIND, IMPLIED, EXPRESSED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF NON-INFRINGEMENT OF THIRD-PARTY RIGHTS, TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND FREEDOM FROM COMPUTER VIRUS, IS GIVEN WITH RESPECT TO THE PROGRAM OR THE SITE.


The foregoing disclaimers and limitation of liability provisions shall apply to the fullest extent permitted by law.

  1. Indemnification

You agree to defend, indemnify and hold harmless the Zenatrip Parties arising from or in any way related to any third party claims relating to from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Program Terms or your use of the Program other than as expressly authorized in these Program Terms, your violation of the rights of a third party, or any negligent acts, omissions or intentional wrongdoing by you. Any such indemnification shall be conditioned on the indemnified party: (i) notifying you in writing of any such claim, demand, action, cost, liability, loss or threat thereof; (ii) cooperating with you in the defense or settlement thereof; and (iii) allowing you to control such defense or settlement. The indemnified party shall be entitled to participate in such defense at its own cost and expense.

The foregoing indemnification provisions shall apply to the fullest extent permitted by law.

  1. Third-Party Websites

Zenatrip may link to websites operated by third parties. Zenatrip has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed in any third-party websites or by any third party that you interact with through the Program. In addition, Zenatrip will not and cannot monitor, verify, censor or edit the content of any third-party site or service. By using the Program, you release and hold us harmless from any and all liability arising from your use of any third-party website or service.

  1. Disputes and Arbitration

Zenatrip is committed to customer satisfaction. If you have a problem or dispute, we will try to resolve it. If we are unsuccessful, you may pursue your claim as explained in this section.

You agree to give us an opportunity to resolve any problem, dispute, or claim relating in any way to the Program (collectively, “Claims”) by providing Notice to Customer Support. Unless prohibited by applicable law, any Claim must be brought within two (2) years from the date on which such Claim arose or accrued. If we are unable to resolve your Claims within 60 days, you may seek relief through arbitration or small claims court, as set forth below

These Program Terms shall be governed by the laws of the State of Connecticut, United States of America, without regard to conflict of laws. All Claims or other matters in dispute between you or any third-party and Zenatrip, its subsidiaries or affiliates, or any companies offering products or services through the Site, whether based upon contract, tort, statute, or otherwise, shall likewise be governed by the laws of the State of Connecticut, without regard to conflict of laws provisions that would result in the application of the laws of any other jurisdiction.

  1. Dispute Resolution and Arbitration

Please read this provision carefully. It requires that any and all Claims must be resolved by binding arbitration or in small claims court, and it prevents you from pursuing a class action or similar proceeding in any forum. These limitations apply to any Claims against Zenatrip, its subsidiaries or affiliates, or companies offering products or services through the Site.

In arbitration, a dispute is resolved by an arbitrator instead of a judge or jury. The arbitrator's decision will generally be final and binding, with no right of appeal. Arbitration procedures are simpler and more limited than court procedures.

  1. By using this Site, you, any third-party, and Zenatrip agree that any Claim, including Claims regarding the applicability or validity of this arbitration provision, shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) and conducted before a single arbitrator pursuant to the then applicable Rules and Procedures established by AAA (“Rules and Procedures”), except that, pursuant to subsection (e) below, under no circumstances may any Claim be brought or arbitrated as a class action or be joined with another person's Claim, or proceed on a basis involving Claims brought on a purported representative capacity (either on behalf of the general public or other users or persons).

As an exception to arbitration, you, any third-party, and Zenatrip retain the right to pursue in a small claims court located in the federal judicial district that includes you or the third-party’s billing address at the time of the Claim, any Claim that is within the court's jurisdiction and proceeds on an individual basis. All Claims you or a third-party bring against Zenatrip, its subsidiaries or affiliates, or any companies offering products or services through the Site must be resolved in accordance with this Section 18(a) of the Program Terms. All Claims filed or brought contrary to this Section shall be considered improperly filed and void

If you decide to seek arbitration, you must first send, by certified mail, a written Notice of Dispute ("Notice") addressed to: Legal Department, Zenatrip, LLC, 90 Post Road E, 3rd Floor, Westport, CT 06880 ("Notice Address"). The Notice must (i) describe the nature and basis of the Claim; and (ii) set forth the specific relief sought. If Zenatrip and you, or Zenatrip and any third-party, do not reach an agreement to resolve the Claim within 60 days after the Notice is received, you, or the third-party, may commence an arbitration proceeding. During the arbitration, the amount of any settlement offer made shall not be disclosed to the arbitrator until after the arbitrator determines the amount, if any, to which you, any third-party, or Zenatrip is entitled.

  2. The arbitration shall be held at a location determined by AAA pursuant to the Rules and Procedures, or at such other location as may be mutually agreed upon.

  3. To the extent that any Claim is held not to be subject to arbitration and proceeds in a court other than small claims court, such Claim shall be filed only in the United States District Court for Connecticut or, if there is no federal jurisdiction over the action, in the courts of the State of Connecticut located in Fairfield County, Connecticut. You hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such Claim that is not subject to the arbitration provision and not pursued in small claims court, and agree that any such Claim shall be resolved individually, without resort to any form of class action (as described more fully in Section 18(e)below). You further agree that any and all Claims or other matters asserted in such dispute, whether based upon contract, tort, statute, or otherwise, shall be governed by the laws of the State of Connecticut, without regard to conflict of laws provisions that would result in the application of the laws of any other jurisdiction.

  4. You and any third-party further agree that no proceeding against Zenatrip, its affiliates, or any companies offering products or services through the Site (under this provision or otherwise) may proceed as a class action, be joined with another person’s Claim, or proceed on a basis involving Claims brought in a purported representative capacity (either on behalf of the general public or other users or persons). Any and all proceedings to resolve Claims will be conducted only on an individual basis. In addition, no arbitration proceeding under this provision shall be consolidated or joined in any way with any other arbitration proceeding without the express written consent of all parties.

  5. For any arbitration initiated pursuant to these Program Terms involving Claims that together seek damages that do not exceed $25,000, Zenatrip will reimburse you for all fees and costs imposed by AAA. If you are unable to pay the filing fee, Zenatrip will pay it for you. For any arbitration involving Claims that together seek damages that exceed $25,000, if you, or any third-party, prevail in the arbitration of any Claim against Zenatrip, Zenatrip will reimburse such prevailing party for any fees or costs the prevailing party paid to AAA in connection with the arbitration.

  6. If you prevail in the arbitration of any Claim against Zenatrip and are awarded an amount greater than Zenatrip’s last written settlement offer to you, Zenatrip will pay a minimum recovery of $5,000, and Zenatrip will reimburse you for all reasonable attorneys’ fees incurred in arbitrating the Claim(s) upon which you have prevailed. If any third-party prevails in the arbitration of any Claim against Zenatrip and is awarded an amount greater than Zenatrip’s last written settlement offer to such third-party, Zenatrip will pay a minimum recovery of $5,000 to the third-party, and Zenatrip will reimburse such third-party for all reasonable attorneys’ fees incurred in arbitrating the Claim upon which he or she has prevailed. Any dispute regarding attorneys’ fees to be paid pursuant to this paragraph will be decided by the arbitrator who decided the underlying Claim. If you or the third-party do not prevail on the Claim or prevail but are awarded an amount less than or equal to Zenatrip’s last written settlement offer to you, Zenatrip will pay only the amount of the award, not the minimum recovery or attorneys’ fees.

  7. Notwithstanding any other provision of law or any of the Rules and Procedures established by AAA which may be to the contrary, Zenatrip will not be entitled to seek reimbursement of its attorneys’ fees for any Claim the arbitrator finds to be non-frivolous.

  8. With the exception of sub-part (e) above (the class action waiver), if any part of this arbitration provision is held to be invalid, unenforceable or illegal, or otherwise conflicts with the Rules and Procedures established by AAA, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, subpart (e) above (the class action waiver) is held to be invalid, unenforceable or illegal, then the entirety of this arbitration provision shall be null and void, and neither you nor any third-party, nor Zenatrip shall be entitled to arbitrate their dispute.

If you or any third-party do not choose to accept this binding arbitration provision, you or such third-party must notify Zenatrip in writing by certified mail within thirty (30) days of your purchase or before you begin to use the products or services purchased or redeemed on this Site, whichever date is sooner. Such notice shall be sent to the notice address defined in subsection (b), above. If you so notify us by that time that you do not accept the binding arbitration provision, you and any such third-party may not continue to purchase services or products on this Site unless and until Zenatrip notifies you or such third-party otherwise. Zenatrip shall have the right to prohibit your and such third-party’s future purchase of services or products on this Site.

  11. Miscellaneous

Without notice to you, Zenatrip reserves the right to suspend or terminate your Program Account and/or your participation in the Program (in whole or in part), at any time, if Zenatrip determines in its sole discretion that you have violated these Program Terms, you have more than one Program Account, or that the use of your Program Account or your participation in the Program is unauthorized, abusive, deceptive, fraudulent or otherwise unlawful. Zenatrip may, in its sole discretion, suspend, cancel or combine Program Accounts that appear to be duplicative. In the event that your participation in the Program is terminated, you will not be able to redeem any accumulated Coins and will forfeit them immediately.

Without notice to you, Zenatrip also reserves the right to “unregister" a Program Account that is inactive and cause that Program Account to be ineligible for the Program. An inactive Program Account is defined as a Program Account that has not earned Coins for six (6) months. In the event that your Program Account is unregistered due to inactivity, you will no longer be eligible for Program benefits, including accumulating Coins or converting your Coins into Rewards. Zenatrip may, in its sole discretion, permit you to reactivate your Program Account by logging into your Program Account and making a purchase. However, any Coins earned prior to the Program Account being deemed inactive will be voided.

You may cancel your Program Account at any time by notifying Zenatrip’s support team at Cancellation may take from three (3) to five (5) business days to finalize. Upon cancellation, your Account will be deactivated. If your Account is canceled or deactivated, you will not receive the Rewards equivalent for unredeemed Coins or any other payout or benefit.

In the event that Zenatrip offers one or more mobile applications for use in accordance with the Program and these Program Terms, you agree that you will be subject to your wireless service carrier’s standard charges, data rates and other fees incurred in your use of said application(s). In addition, Zenatrip does not guarantee compatibility or interruption-free service through the Program or any of its Site.

If any provision of the Program Terms is for any reason held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions of the Program Terms shall be unimpaired and shall remain in full force and effect.
